Womenhood, (“Womenhood”) is a digital platform which provides enabled persons (“Users” or “Members”) with a web based community, of which, varied tiers of membership offer different ranges of services.

By using Womenhood and either subscribing to or registering for membership (a “Membership”), you agree to adhere to these terms of use (the “Terms & Conditions”), the terms of our Privacy Policy, and all other documents, rules, policies and procedures that may be published and updated by Womenhood from time to time on this platform (“Womenhood.se”). The Terms & Conditions shall apply to all Users and Members. If you do not want to be bound by these Terms & Conditions, you may not join the community of Womenhood. Users/Members found to be violating these Terms & Conditions are subsequent to immediate removal from the platform and forfeit all fees already paid for the billing period.

Separate terms and conditions may apply, in addition to these Terms, for specific purchases made by a User on Womenhood.se.

DEFINITIONS

​

“Womenhood”, “we”, “us” and “our” means Womenhood.

“Terms & Conditions” means this document including any appendices hereto.

“Upgrades” means upgrades of your User Account offered by us from time to time in Womenhood.

“User”, “you” and “your” means the individual using Womenhood in any capacity.

“Member”, a user who has subscribed to the use of our paid services for any period or ongoing duration.

“User Account” or “Profile” means the personal account created by you on Womenhood.se.

“Your Content” means any text, message, picture, video, link, data, and other information that you submit, upload, post, publish, communicate, display or otherwise handle through Womenhood.

“Website” means the website, owned and developed by Womenhood, available at http://www.womenhood.se.

“Platform” means the Womenhood website and all forms of media on which Womenhood operates.

1. ACCEPTANCE OF Terms & Conditions

​

In order to register for a User Account and by using Womenhood, you must have read, understood and accepted these Terms & Conditions. When registering for a User Account, you agree to strictly adhere to these Terms & Conditions and to be legally bound to the Terms & Conditions in relation to us.

We reserve the right to modify these Terms & Conditions at any time at our sole discretion. The modified Terms & Conditions will be effective immediately upon posting and you agree to the new posted Terms & Conditions by continuing your use of Womenhood. We will notify you by message in Womenhood and/or by e-mail to the address provided to us upon registration thirty (30) days in advance of any material changes taking effect and your continued use of Womenhood after such notification constitutes your agreement to the updated Terms & Conditions. If you do not agree to these Terms & Conditions or any updated version of the Terms & Conditions, your only remedy is to discontinue using Womenhood.

You can access the latest version of these Terms & Conditions at any time in Womenhood or via our Website. We advise you to review Womenhood or our Website periodically for any changes of the Terms & Conditions.​

2. ELIGIBILITY

​

Womenhood is intended for women who want to be part of a community with the purpose of support, encouragement, and learning on the journey to personal and professional growth.

You may only use Womenhood if you are at least eighteen (18) years old and have legal capacity.

3. RIGHT TO USE 

​

Upon registration of your User Account and your acceptance of these Terms & Conditions, we grant you a non-exclusive, non-transferable, revocable, limited license to use Womenhood on your device(s) in accordance with these Terms & Conditions. Except as expressly granted in these Terms & Conditions, you shall have no other rights to Womenhood. All right, title and interest in and to Womenhood and the content therein (excluding Your Content), not expressly granted, are reserved and retained by us or our licensors and will remain the exclusive property of Womenhood and/or our licensors.

4. LICENSE GRANT AND ACCESS RIGHTS

​

You grant us a worldwide, non-exclusive, transferable, and royalty-free right to use, reproduce, modify, transfer, make available to the public, publish, create derivative works from, and publicly display Your Content on and through Womenhood. You shall be solely responsible for Your Content and the consequences of posting or publishing Your Content.

5. UPGRADES OF THE USER ACCOUNT

​

When you register for a User Account, you will have access to a limited, free of charge, version of Womenhood. However, we may from time to time offer possible subscription upgrades of your User Account in Womenhood. Upgrades may be provided free of charge while others are provided for a subscription fee. The fee for each subscription upgrade of the User Account may vary and are as specifically set out in the offer and/or the separately applicable terms thereto, which you must accept in order to get access to the relevant subscription Upgrade.

If you accept an upgrade of your User Account, and if such upgrade is subject to a monthly subscription fee, you will be charged such fee on a monthly basis unless otherwise specifically set out in the additional terms applicable to the upgrade.

​

Unless otherwise specifically set out in the accepted additional terms applicable to the upgrade, the first payment for the upgrade shall be made in connection with your acceptance of the upgrade. The recurring subscription fee will then be charged monthly in advance.

​

Payment for any upgrades shall be made with one of the payment options available at any given time through Womenhood. If you have accepted an upgrade, you can at any time request a downgrade of the User Account to the standard limited, free of charge, version of Womenhood. If you choose to downgrade the User Account to the standard limited, free of charge, version of Womenhood, the current upgrade will continue to apply until the end of your current billing period. Thereafter, your User Account will be downgraded. No refunds are made. You can manage your subscription and cancel the Upgrade in your User Account settings in Womenhood.

Unless otherwise expressly stated in writing, you are solely responsible for any taxes and/or fees arising from your use of Womenhood.

​

The Terms & Conditions constitute the initial agreement between you and us on all issues to which the Terms & Conditions relate. However, if you accept an Upgrade of your User Account, separate additional terms may also apply and will, together with these Terms & Conditions, form the entire agreement between you and us. In the event of any discrepancy or inconsistency between these Terms & Conditions and the terms of any such additional agreement, the terms of the additional agreement shall prevail over these Terms & Conditions.

6. CONSUMER RIGHTS​

​

The Terms & Conditions do not exclude, limit or otherwise restrict the rights vested with consumers under applicable consumer law and shall not be construed as such.

7. CONDITIONS OF USE

​

(7a) User Conduct: You are solely responsible for all audio, code, video, images, information, data, text, software, music, sound, photographs, graphics, messages or other materials (“content”) that you upload, post, publish or display (hereinafter, “upload”) or email or otherwise use via Womenhood. The following are examples of the kind of content and/or use that is illegal or prohibited by Womenhood. Womenhood reserves the right to investigate and take appropriate legal action against anyone who, in Womenhood’s sole discretion, violates this provision, including without limitation, removing the offending content from Womenhood, suspending or terminating the account of such violators and reporting you to the law enforcement authorities. You agree to not use the Service to:

• engage in any conversation or otherwise upload any content that (i) infringes any intellectual property or other proprietary rights of any party; (ii) you do not have a right to upload under any law or under contractual or fiduciary relationships; (iii) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (iv) poses or creates a privacy or security risk to any person; (v) constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation; (vi) is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful racially, ethnically or otherwise objectionable; or (vii) in the sole judgment of Womenhood, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose Womenhood or its users to any harm or liability of any type;

• record any portion of a conversation without the express written consent of all of the speakers involved

• interfere with or disrupt Womenhood.se or servers or networks connected to Womenhood, or disobey any requirements, procedures, policies or regulations of networks connected to Womenhood; or

• violate any applicable local, state, national or international law, or any regulations having the force of law;

• impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;

• solicit personal information from anyone under the age of 18;

• harvest or collect email addresses or other contact information of other users of Womenhood by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications;

• advertise or offer to sell or buy any goods or services for any business purpose that is not specifically authorized;

• promote or aid in the building of a competitive product or service, copy Womenhood’s features or user interface, or solicit users or customers from Womenhood;

• further or promote any criminal activity or enterprise or provide instructional information about illegal activities; or

• obtain or attempt to access or otherwise obtain any materials or information through any means not intentionally made available or provided for through Womenhood.

(7b) Fees: To the extent Womenhood or any portion thereof is made available for any fee, you will be required to select a payment plan and provide Womenhood information regarding your credit card or other payment instrument. You represent and warrant to Womenhood that such information is true and that you are authorized to use the payment instrument. You will promptly update your account information with any changes (for example, a change in your billing address or credit card expiration date) that may occur. You agree to pay Womenhood the amount that is specified in the payment plan in accordance with the terms of such plan and this Terms of Service. If you dispute any charges you must let Womenhood know within sixty (60) days after the date that Womenhood charges you. We reserve the right to change Womenhood’s prices. If Womenhood does change prices on a subscription product or feature, Womenhood will provide notice of the change on the Site or in email to you, at Womenhood’s option, at least 15 days before the change is to take effect. Your continued use of Womenhood after the price change becomes effective constitutes your agreement to pay the changed amount. You shall be responsible for all taxes associated with Womenhood other than Sweden’s taxes based on Womenhood’s net income.

(7c) Special Notice for International Use:

Recognizing the global nature of the Internet, you agree to comply with all local rules and laws regarding your use of the Service, including as it concerns online conduct and acceptable content.

(7d) Commercial Use:

Unless otherwise expressly authorized herein or in Womenhood, you agree not to display, distribute, license, perform, publish, reproduce, duplicate, copy, create derivative works from, modify, sell, resell, exploit, transfer or upload for any commercial purposes, any portion of Womenhood, use of Womenhood, or access to Womenhood. Womenhood is for your personal use.

8. INTELLECTUAL PROPERTY RIGHTS

​

(8a) Third Party Material: Under no circumstances will Womenhood be liable in any way for any content or materials of any third parties (including users), including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any such content. You acknowledge that Womenhood does not pre-screen content, but that Womenhood and its designees will have the right (but not the obligation) in their sole discretion to refuse or remove any content that is available via the Service. Without limiting the foregoing, Womenhood and its designees will have the right to remove any content that violates these Terms of Service or is deemed by Womenhood, in its sole discretion, to be otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any content, including any reliance on the accuracy, completeness, or usefulness of such content.

(8b) User Content Transmitted Through the Service: With respect to the content or other materials you upload through the Service or share with other users or recipients (collectively, “User Content”), you represent and warrant that you own all right, title and interest in and to such User Content, including, without limitation, all copyrights and rights of publicity contained therein. By uploading any User Content you hereby grant and will grant Womenhood and its affiliated companies a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, upload, perform, distribute, store, modify and otherwise use your User Content in connection with the operation of the Service or the promotion, advertising or marketing thereof, in any form, medium or technology now known or later developed.

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Service (“Submissions”), provided by you to Womenhood are non-confidential and Womenhood will be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

(8c) Copyright Complaints: Womenhood respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, you should notify Womenhood of your infringement claim in accordance with the procedure set forth below.

Womenhood will process and investigate notices of alleged infringement and will take appropriate actions under applicable intellectual property laws with respect to any alleged or actual infringement. A notification of claimed copyright infringement should be emailed to Womenhood at hello@womenhood.se (Subject line: “Takedown Request”).

To be effective, the notification must be in writing and contain the following information:

• an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;

• a description of the copyrighted work or other intellectual property that you claim has been infringed;

• a description of where the material that you claim is infringing is located on the Service, with enough detail that we may find it on the Service;

• your address, telephone number, and email address;

• a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law;

• a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner’s behalf.

(8d) Counter-Notice: If you believe your User Content that was removed (or to which access was disabled) is not infringing, or that you have the authorization from the copyright owner, the copyright owner’s agent, or pursuant to the law, to upload and use the content in your User Content, you may send a written counter-notice containing the following information to the Copyright Agent:

• your physical or electronic signature;

• identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or disabled;

• a statement that you have a good faith belief that the content was removed or disabled as a result of mistake or a misidentification of the content; and

• your name, address, telephone number, and email address, a statement that you will accept service of process from the person who provided notification of the alleged infringement.

 

If a counter-notice is received by the Copyright Agent, Womenhood will send a copy of the counter-notice to the original complaining party informing that person that it may replace the removed content or cease disabling it in 10 business days. Unless the copyright owner files an action seeking a court order against the content provider, member or user, the removed content may be replaced, or access to it restored, in 10 to 14 business days or more after receipt of the counter-notice, at our sole discretion.

(8e) Third Party Websites

The Service may provide, or third parties may provide, links or other access to other sites and resources on the Internet. Womenhood has no control over such sites and resources and Womenhood is not responsible for and does not endorse such sites and resources. You further acknowledge and agree that Womenhood will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, events, goods or services available on or through any such site or resource. Any dealings you have with third parties found while using the Service are between you and the third party, and you agree that Womenhood is not liable for any loss or claim that you may have against any such third party.

9. YOUR RESPONSIBILITIES

​

When using Womenhood, you undertake to comply with the Terms & Conditions and any applicable guidelines. Further, you may only use Womenhood in accordance with applicable law or regulation. You may not use Womenhood in a way that causes us, other Users, or any third-party harm. Further, you may not use Womenhood for the transmission of any information that is obscene, libellous, harassing, abusive, threatening, invasive of a User’s privacy, or in violation of any other individual’s intellectual property rights.

Your User Account is for your own use. You may not authorize others to use your User Account and you may not assign or otherwise transfer your User Account to any other person or entity. You are responsible for maintaining the confidentiality of the login credentials used to login to Womenhood and are responsible for any and all activities and postings that are made using your User Account. Further, you are responsible that the information provided to us is accurate, complete, and current at all times.

You are solely responsible for Your Content communicated or transmitted through Womenhood and your User Account. You may not use, communicate or publish any information (including Your Content) that, for example, but not limited to:

• may violate the integrity of, intimidate or offend another person, or may challenge criminal actions;

• is considered as fraudulent or unlawful behavior;

• restrict or inhibit any other person or User from using Womenhood or any portion of Womenhood, including without limitation by hacking or defacing any portion of Womenhood;

• is intended to bully, scare, defame, abuse, harass, stalk, threaten or otherwise violate other Users or the legal rights of others, including without limitation others’ privacy rights or rights of publicity, or to harvest or collect information about Users;

• contains or depicts anything that is immoral, intrusive, unethical, or could reasonably be expected to be used for such immoral, intrusive, or unethical purposes;

• contains any material, non-public information about a company without the proper authorization to do so;

• is subject to any third party intellectual property rights that have not been granted to you for this use; or

• is not permitted by any applicable law or regulation (for example discrimination and/or racial agitation).

 

If Your Content contains personal data about any individual(s) other than you, it is your responsibility to ensure that you have informed such individuals about our privacy policy, and collected the consent by such individual(s) prior to providing their personal data as part of Your Content.

You may not use, copy or transfer Womenhood, or parts thereof, other than as permitted under the Terms & Conditions. You may under no circumstance alter, develop, or create additions to Womenhood. You may not use reverse engineering, work around any technical limitations, or otherwise attempt to change or recreate the source code of Womenhood, or create backup copies, except as provided by mandatory law. You may not sublicense, rent, loan or otherwise permit any third party, directly or indirectly, to dispose or otherwise use Womenhood.

You may not alter or remove any proprietary notices from Womenhood regarding patents, copyright, trademark or other intellectual property.

​

Failure to comply with this Section 9 constitutes a material breach of this Agreement which may result in immediate termination of your User Account. Furthermore, Womenhood reserves the right to save Your Content after termination of your User Account due to such material breach on your behalf of this Agreement, to the extent we deem necessary in order to fulfil an obligation in accordance with applicable laws and regulations, court orders, requests from government authorities and/or our Privacy Policy.

10. WARRANTY

​

You warrant that Your Content is free from any third party dependencies or third party rights and that you have the right to grant us the license herein. Further, you warrant that our use of Your Content will not infringe any third party intellectual property rights.

​

You warrant that Your Content is in compliance with the Terms & Conditions, as well as applicable laws and regulations.

​

If you are notified of or otherwise become aware of any claims related to the aforementioned warranties, you shall immediately inform us thereof and shall assist us in any actions that we see fit to take.

​

Further, you represent and warrant that the posting and use of Your Content does not violate privacy rights, publicity rights, copyrights, contract rights, intellectual property rights, trade secrets, know-how or any other rights of any person or company, and that the posting of Your Content does not result in a breach of contract between you and a third party. You agree to pay for all royalties, fees, and any other monies owing any third party relating to Your Content.

11. TERMINATION OF USER ACCOUNT

​

You may terminate your use of Womenhood and close your User Account at any time. These Terms & Conditions will apply until your User Account has been closed. Information on how to close your account can be found in Womenhood. No refunds of the subscription fee are made if you terminate an Upgraded User Account. In order to cancel any recurring payments for the Upgraded User Account you must cancel such subscription and/or payments. For further information on how to terminate such purchases, please visit the applicable website (www.womenhood.se) or contact customer service.

We reserve the right, in our sole discretion, to terminate your User Account and your right to use Womenhood without liability for any damages in relation to you.

​

12. PRIVACY

In order for us to provide you with Womenhood, we must process your personal data. We are committed to maintaining the privacy and security of your personal data and will only use the information you provide in accordance with our Privacy Policy and the General Data Protection Regulation (EU 2016/679). You acknowledge that we may collect and use your personal data for the purposes specified in our Privacy Policy.

*DISCLAIMERS, LIMITATIONS OF LIABILITY AND INDEMNITIES WILL REMAIN IN FULL FORCE AND EFFECT AND SHALL SURVIVE THE DELETION OF YOUR ACCOUNT.

13. LAW AND VENUE

​

Any dispute, controversy or claim arising out of or in connection with the Terms shall be finally settled by Swedish courts, with the Stockholm district court (Stockholms tingsrätt) as the court of first instance.
